[Ofa_boardplus] Bylaws update status

I have updated the previous proposal to reflect the concepts described below.  I didn't get a chance to incorporate the voting questions.  I strongly suggest we use slide 4 as the basis for today's discussion.

If this is where the conversation left us last time, I think it would be extremely helpful if this could be captured in a more formal way using a few .pptx slides, as has been done in the past.  Things seem to go much smoother if we're all talking about a single common set of language that we can all poke at.
