[Ofa_boardplus] Announcement of out-of-sequence Board meeting

Quorum for tomorrow’s Board meeting.

Pursuant to Board action taken on 7/16/2015, those eligible to vote at tomorrow’s meeting include:

Emulex/Broadcom
Huawei Technologies
HPE
IBM
Intel
Jump Operations LLC
Lawrence Livermore National Lab
Los Alamos National Lab
Mellanox
NetApp
Oak Ridge National Lab
Oracle
Unisys

According to the existing Bylaws, Sec 7.5 Quorum for Meetings. A quorum shall consist of a majority of the number of Directors actually serving as a Director. (If a Member eligible to appoint a Director has not done so, that vacancy will not be considered in determining a quorum).

Given the agenda topics for tomorrow’s meeting, it’s a necessary evil that we be pedantic about this.

As promised, attached are two sets of motions to be considered at tomorrow’s board meeting:


1.      V_Bylaws_Update_Project_2016_1027.pptx:  This has been posted to the ofa_boardplus list several times and is ready for Board action at tomorrow’s meeting.

2.      V_Establish_Board_Composition_2016_1130:  Due to my own slothfulness, I failed to post this to the ofa_boardplus reflector in conformance with the 72 hour rule described in the groundrules (see above), even though this topic has been thoroughly discussed at XWG meetings over the past few months.  Fortunately, there is a provision in the groundrules for suspending the 72 hour rule, subject to agreement by all.  I am hoping that the topic is sufficiently free of contention that the Board will feel comfortable suspending the rules.

This has been moved from 11/17 due to SC16.
The tentative agenda is attached.
The call in details are on the agenda.
This is probably on your calendars as XWG 1st week.
