[Ofa_boardplus] Bylaws Proposal - qualification of Directors and other items related to Article 6

I would like to discuss the attached proposal at an upcoming XWG meeting.  This is a discussion only; there is nothing on which the XWG can vote.  The desired outcome is to reach consensus on the enclosed principles such that they can be formed into voteable items for action by the Board.
