Susan,

For special board meeting there is no 15 days rule. The bylaws requires 15 days notice for Member Meetings.  In the section for Board meetings, it only says that special meetings may be called by the Chair.  There is no minimum time limit. "Notice of Meetings. Unless otherwise provided by provisions of law, notice of Meetings will be given to Members in accordance with policies set by the Board". Unfortunately we the board did not set a policy for this. 

To be fair, we need to provide the full view here. The motion you listed requests the board to change a motion that was accepted for the bylaws update process, allowing the execution of the at large board members issue earlier than as previously agreed, meaning now and not post the updated bylaws process. At the same line, the board can also be requested to change the motion that was accepted to run the election at the OFA workshop, and allowing that to be at any given time, post the bylaws update process. 

One more thing, in the last XWG meeting seems that there was a majority for "vote per organization" and not "vote per attendee". It is not being reflected below. Does that mean that another board member needs to suggest a different motion? A better process is to reflect the XWG view IMO.

Due to the motion not being distributed 72 hours ahead of time, the Board was unable to vote to waive the full bylaws adoption process for the at-large Director seats.

As a result, we would like to call a Board meeting in place of the XWG meeting next week, Thursday 11am Mountain 3/23.

THIS SPECIAL MEETING DOES >NOT< MEET THE AGREED UPON 15 DAY NOTICE FOR SPECIAL BOARD MEETINGS. 
THAT SAID, WE HAVE BEEN DISCUSSING THESE ISSUES EVERY WEEK FOR MONTHS.
THIS SPECIAL MEETING IS SCHEDULED DURING THE REGULAR, WEEKLY XWG TIMESLOT.

IF WE DO NOT ALLOW THIS MEETING, THE AT-LARGE DIRECTOR SEATS CANNOT BE IMPLEMENTED UNTIL THE WORKSHOP IN 2018.

At that meeting, we will vote on 2 things.
The motions are below - this meets the 72 hour advance distribution of motions.

1.  Waiving the bylaws adoption process for the At-Large Directors
Motion:
Cray motion: Notwithstanding the existing Groundrules, adopt the vote to add two At-Large Directors as of this year’s Workshop. 

2.  Defining the nomination and voting procedures for the At-large Director positions
Motions:
LANL motion: Nominations for the At-Large OFA Directors will be accepted only from the floor at the Annual General Meeting(AGM) held at the OpenFabrics workshop the week of March 27, 2017.  Anyone can nominate a candidate.  It is permissible to nominate oneself.  Candidates for nomination cannot be affiliated with an organization already represented on the OFA Board of Directors.  Candidates must accept the nomination either verbally at the AGM, or by email sent to the Chair of the Board prior to the conclusion of the AGM.

LANL motion:  Voting for the At-Large OFA Directors will be by secret, verifiable ballot.  All attendees at the OFA workshop will be provided a verifiable ballot.  Voting will begin following the AGM and will end at the close of the workshop.  A sufficient chain-of-custody for the ballots submitted and counted will be maintained by an independent entity.
