Greetings –
I have updated the draft Bylaws pursuant to the discussion in last week’s XWG meeting with the edition of text in Section 5.1 clarifying the intention behind the concept of an Interim Chair.
In addition, the following two changes were made during the XWG meeting:

1.       Clarify that attendance at a Board meeting by an Alternate counts toward maintaining Good Standing,

2.       Eliminate the concept of excused absences for Directors.

Cray plans to offer the attached motion at this Thursday’s Board meeting.  Note that the motion is to approve taking the draft to the next step, i.e. review by OFA’s legal counsel.

There are at least two organizations which have provided notification of a conflict at this Thursday’s Board meeting.  The existing Bylaws do allow for those organizations, if desired, to appoint a proxy.  The only substantial limitation is that the proxy holder must also be a Member of the OFA.
